Sorry for the late posting of the meetup and agenda for this month's meeting... It seems that sometimes there is just not enough hours in the day to get all your "punch list items" completed.

It's been a busy month and there have been a number of very interesting developments over the course of the last year in the area of "Opportunity Zones and Opportunity Funds"... If only we had a heads up on this 6 months ago ! You will have the same reaction when you find out what it's all about...

About Opportunity Zones: (From Various Internet Sources)

Opportunity Zones are a new community development program established by Congress in the Tax Cuts and Jobs Act of 2017 to encourage long-term investments in low-income urban and rural communities nationwide. The Opportunity Zones program provides a tax incentive for investors to re-invest their unrealized capital gains into Opportunity Funds that are dedicated to investing into Opportunity Zones designated by the chief executives of every U.S. state and territory.

Opportunity Zones are low income census tracts nominated by governors and certified by the U.S. Department of the Treasury into which investors can now put capital to work financing new projects and enterprises in exchange for certain federal capital gains tax advantages. The country now has over 8,700 Opportunity Zones in every state and territory.

Opportunity Funds are private sector investment vehicles that invest at least 90 percent of their capital in Opportunity Zones. U.S. investors currently hold trillions of dollars in unrealized capital gains  in stocks and mutual funds alone— a significant untapped resource for economic development. Opportunity Funds provide investors the chance to put that money to work rebuilding the nation’s left-behind communities. The fund model will enable a broad array of investors to pool their resources in Opportunity Zones, increasing the scale of investments going to undeserved areas.

The Opportunity Zones program offers investors the following incentives for putting their capital to work in low-income communities:

  • A temporary tax deferral for capital gains reinvested in an Opportunity Fund. The deferred gain must be recognized on the earlier of the date on which the opportunity zone investment is sold or December 31, 2026.
  • A step-up in basis for capital gains reinvested in an Opportunity Fund. The basis of the original investment is increased by 10% if the investment in the qualified opportunity zone fund is held by the taxpayer for at least 5 years, and by an additional 5% if held for at least 7 years, excluding up to 15% of the original gain from taxation.
  • A permanent exclusion from taxable income of capital gains from the sale or exchange of an investment in a qualified opportunity zone fund, if the investment is held for at least 10 years. (Note: this exclusion applies to the gains accrued from an investment in an Opportunity Fund, not the original gains).

It's short notice I know... but that' no excuse for not making an effort to find out more about this amazing economic development and financial incentive program for investors, entrepreneurs, and communities alike.

You never know what kind of engaging topics we get into as our members have such a broad range of companies and projects.

 

Also, it's the beginning of Summer, schools are out, and it's time to relax a little bit.

“Keel and Canvas”:

Jack's objective is to show how the left side of the balance sheet supports the activities of the income statement, and the right side of the balance sheet is where the left side comes from. The sailboat analogy shows how that works. Most people get that it takes some amount of Money to go from ZERO to $100 in revenue. Now we show that it takes a similar amount to go from $100 to $200 !

Also, this month I will provide an update on the proposed Affordable and Obtainable Housing "Test Pilots" we have proposed for the City of Colorado Springs, and the County of El Paso... This also includes a number of local aid agencies who are interested in solving affordable housing in our local community.

 

In addition, I will provide an update on Ballot Initiative 66 which is a really bad upcoming voter initiative coming out of Boulder to try and attempt to restrict the number of single family housing developments in 10 counties in Colorado. Will present the "pros and cons" and some of the background behind this initiative.

Will also have another "Open Mic" opportunity for our members who would like to make some "mini-pitches" on their businesses, or propose some challenges to our group for problem solving on a particular issue or development in their business. You never know what to expect with Open Mic !

It's Cyber Security Night - CSE Group Roundtable Discussion !

Tonight we are going to set-up our CSE Group Roundtable Discussion and unpack the CLOUD Act and discuss what it's impact will be on your personal data, how you might look at providing (or not providing) information to on-line services

The real "March Madness" was the passing of the "Cloud Act":

The CLOUD Act — Clarifying Lawful Overseas Use of Data — is a set of regulations handling how data stored in one country can be accessed by an entity in a different country. It was signed into law on March 23, 2018 as part of the Omnibus Spending Bill.

The federal spending bill signed by US President Donald Trump on Friday does more than fund the budget. It also makes it easier for law enforcement agencies to demand access to online information no matter what country the data is stored in. As the CLOUD Act becomes law, it increases government access to online info.

There are debates on both sides of this ACT:

The CLOUD Act offers an alternative to the current process for sharing internet user information between countries, called MLAT, or a mutual legal assistance treaty. Both law enforcement agencies and tech companies say using such a treaty to request data is cumbersome and slow. The fix has the technology sector divided though. Tech companies, such as Microsoft, favor the change. But privacy advocates say it could help foreign governments that abuse human rights by aiding their access to online data about their citizens.

Brad Smith, Microsoft President and chief legal officer, said in a statement Wednesday the bill was "a strong statute and a good compromise," and added that "it gives tech companies like Microsoft the ability to stand up for the privacy rights of our customers around the world."

Sen. Orrin Hatch, a Republican from Utah who introduced the CLOUD Act, said in February, "The CLOUD Act bridges the divide that sometimes exists between law enforcement and the tech sector by giving law enforcement the tools it needs to access data throughout the world while at the same time creating a commonsense framework to encourage international cooperation to resolve conflicts of law," Hatch said.

But privacy advocates at groups like the ACLU and the Electronic Frontier Foundation criticized the change, saying it lets law enforcement bypass constitutional protections against unreasonable searches. It also could lead the US to send user data to police in countries known for abusing the human rights of their citizens, they argue.

The result, advocates say, is that tech companies will have to decide whether to comply with legal demands for their users' information.

The law "threatens human rights, jeopardizes the Fourth Amendment interests of individuals inside the US, and provides an alarming level of discretion to the executive branch at the expense of congressional authority," representatives of the ACLU wrote in a letter to lawmakers Thursday.

Sen. Ron Wyden, a privacy-oriented Democrat from Oregon, said in a letter last week (PDF) that while the MLAT process needs to be updated, the CLOUD Act has a big problem in the way it lets the executive branch hash out individual agreements with foreign companies on data sharing. That "places far too much power in the President's hands and denies Congress its critical oversight role," Wyden wrote.

2. Entrepreneurial Pitch: A Glimpse into the Future of Transportation

I met D Worthington up in Fort Collins last week at an Innosphere presentation about Loop Global and as many of you know Loop Global is in discussions with the City of Colorado Springs as they unveiled plans over the summer to build a 3-mile demonstration track that people could pay to ride.  Colorado Springs remains a candidate for the project, said CEO D Worthington, even after the Colorado Department of Transportation announced that it will let Los Angeles-based transportation company Arrivo build a test track near Denver International Airport.

I spoke with D about his plans for the Springs, and I told him that the CSE Group would definitely like to support his efforts, spread the word, and see if we can help encourage the City to pursue this unique development.

Bryan was recently the CFO for a government contractor where he helped them to become more profitable, develop processes and procedures, and enhance the usefulness of their ERP system.  His experience in compliance of government regulations and programs such as FAR, DCAA, CAS, SBA and the various contract vehicles enabled them to receive approval for four years of past incurred cost rates submissions, successful completion of a DCAA audit, and several annual public audits.

Bryan has been the CFO of a $100 million radiology practice where he was able to reorganize the business office, resulting in a 10% reduction of staff without decreasing any of the departmental benchmarks, and meeting all billing and collection goals.  The company was able to expand services in productive facilities with the purchase of millions of dollars of equipment and close an underutilized facility.

He was also in charge of the financial area of a startup high-tech company that provided goods and services to the defense and space contracting industry.  Bryan’s strategic planning, budgeting, development of internal controls, debt management, management of infra structure growth, and risk management enabled the company to grow rapidly over a five year period to over $20 million in revenue and ultimately sell the company to a publicly traded company.

Bryan earned his B.S. degree in accounting from Colorado State University.  He holds an active CPA license in the state of Colorado and a member of the AICPA.  He lives in Monument, Colorado with his wife Shanna and enjoys his three daughters, one granddaughter, golfing, the outdoors, and weightlifting.

Ann was born and raised in Thailand.  She graduated from Thammasat University in Thailand with B.A. major in Finance.  She came to the United State in 2000 and earned a master’s degree in Computer Networking.   She worked in Import/Export and international trade for 12 years.  In the third year of operation of a metal scraps business, (that was registered in 2010 in the United States), she wanted to expand her business and take it to the next level.  At one point in her business, she was denied a loan from the bank.  That experience planted the idea in her to establish her own company that would help entrepreneurs and business of all sizes start and expand their companies.

Ok, this month's Meetup Theme will be focused on a topic that many of us think about on a daily basis... Personal Finance.  Specifically we are going to have 3 engaging speakers this month that will address two topics of interest... Creative Investing, and Leveraging Insurance.  Will also have an Open Mic Night to allow some of our members to provide some updates on projects they are working on or topics of interest to them.  And we will welcome some of our new members this month.

Creative Investing:

About Jerome Depner:

Jerome was born and raised in Appleton Wisconsin and moved to Colorado Springs in 2007 after Joining the Army. Jerome was stationed at Ft. Carson as a wheeled vehicle driver for his entire military career and deployed in support of Operation Iraqi Freedom and Operation Enduring Freedom in Afghanistan. Jerome transitioned from active duty to Army reserves in 2011 and is still currently a Signal support NCO for the 440th Civil Affairs Battalion.  Since then, Jerome has become an entrepreneur starting his own real estate investment company and most recently joined forces with PHP Agency.
